1. Acceptance of Terms

By accessing or using ReservaLive ("the Service"), operated by AVAIA, LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

ReservaLive is an online reservation platform that enables venue operators to sell event reservations and enables guests to reserve tables and seating at events. We facilitate the transaction between venues and guests but are not a party to the reservation agreement between them.

3. User Accounts

• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account.
• You agree to provide accurate and complete information.
• We reserve the right to suspend or terminate accounts that violate these terms.

4. Reservations and Payments

• All reservations are subject to availability and the policies set by the venue operator.
• Payments are processed securely through our payment processor.
• Reservation fees, service fees, and any applicable taxes will be clearly displayed before you complete your purchase.
• Completed reservations are confirmed instantly.

5. Refunds and Cancellations

Refund and cancellation policies are determined by each venue operator. We facilitate refund processing on behalf of venues, but the decision to issue a refund is at the venue's discretion. Service fees may be non-refundable.

6. Venue Operators

• Venue operators are responsible for the accuracy of their event information, pricing, and availability.
• Venue operators agree to honor confirmed reservations made through the platform.
• We reserve the right to remove any venue or event listing that violates these terms or applicable law.

7. Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose.
• Interfere with or disrupt the Service or its infrastructure.
• Attempt to gain unauthorized access to any part of the Service.
• Submit false or misleading information.
• Resell or transfer reservations unless expressly permitted by the venue.

8. Intellectual Property

All content, design, and technology of the Service are owned by AVAIA, LLC or its licensors. Venue operators retain ownership of their own branding, logos, and event content uploaded to the platform.

9. Limitation of Liability

To the fullest extent permitted by law, AVAIA, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied.

11. Indemnification

You agree to indemnify and hold harmless AVAIA, LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these terms.

12. Governing Law

These terms are governed by the laws of the State of Florida. Any disputes shall be resolved in the courts located in Miami-Dade County, Florida.

13. Changes to These Terms

We may update these terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the revised terms.
